These Terms of Service ("Terms") govern your use of Vent, our AI companion app. By using Vent and our services (collectively, the "Services"), you agree to these Terms. If you have any questions, feel free to contact us at support@ventai.app.

1. About Vent

Vent is provided by Let's Mosey LLC, a software company incorporated in Delaware. Our app offers a personal chatbot service through a text interface designed to support your mood and emotional well-being.

1.1. Not Medical, Professional, or Emergency Advice

While Vent aims to support your emotional well-being, it is not a substitute for professional medical, mental health, or other licensed professional advice. We are not healthcare providers, therapists, counselors, or financial advisors. The Services are not intended to diagnose, treat, or cure any medical, psychological, psychiatric, or financial condition, and they should not be relied upon for any such decisions. If you are experiencing a medical or mental health emergency, call 911 or go to the nearest emergency room.

1.2. No Guarantee of Therapeutic or Practical Benefit

Although certain conversation techniques used in Vent may assist with emotional clarity or reflection, we make no claims, representations, or guarantees that our Services provide therapeutic, clinical, or practical benefits.

1.3. Emergencies and Crisis Situations

Vent is not designed to respond to emergencies or crises. If you are experiencing suicidal thoughts, self-harm urges, or a serious emotional or psychological crisis, do not use this service. Please immediately contact emergency services by calling 911 (in the U.S.), dial 988 for the Suicide and Crisis Lifeline, or visit the nearest emergency room. For international users, contact your local crisis hotline.

1.4. Limitations of AI-Generated Content

Vent uses artificial intelligence to generate responses. You acknowledge and agree that:

The AI may generate inaccurate, incomplete, or inappropriate content.
You should not rely on any AI-generated responses for critical decisions, including those related to health, safety, or finances.
Conversations with the AI do not create any form of professional, privileged, or confidential relationship.
Use of the Services is at your own risk.
We do not guarantee the accuracy, usefulness, or appropriateness of any information provided.
The AI may occasionally produce unexpected, offensive, or incorrect output, and Let’s Mosey LLC is not liable for such content.

1.5. Changes to Our Services

We reserve the right to modify, suspend, or discontinue, temporarily or permanently, any part of the Services at any time, with or without notice. You agree that Let's Mosey LLC will not be liable to you or to any third party for any such changes.

1.6. About AI Responses
Vent is powered by artificial intelligence, which may sometimes generate inaccurate, incomplete, or inappropriate responses. While the AI aims to offer thoughtful dialogue, it is not a human or professional and should not be relied upon for decision-making, medical care, or emotional crisis support.

2. Using Vent

2.1. Creating an Account
To use Vent, you'll need to create an account. Please provide accurate, current, and complete information about yourself. You're responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
2.2. Your Responsibilities
You agree to:

Notify us immediately of any unauthorized use of your account.
Not share your account with others.
We are not liable for any loss or damage arising from your failure to comply with these responsibilities.

3. Subscriptions and Payments

3.1. Paid Subscriptions
We offer paid subscriptions ("Paid Subscriptions”). Subscriptions are billed through the App Store where you made the purchase (e.g., Apple App Store).
3.2. Billing and Renewal
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
The renewal subscription fees will continue to be billed to the payment method you provided, automatically until canceled.
You can manage or cancel your subscription through your App Store account settings.
3.3. Refunds
Purchases made through the App Store are final and subject to the App Store's refund policies. Please review their policies for more information. We do not provide refunds for any partial subscription periods.
3.4. Device Requirements
Ensure your device meets the necessary system requirements to run Vent. These can be found on the App Store listing.

4. Canceling Your Account

4.1. By You
You can delete your account at any time within the app. This action is irreversible, and all your data will be permanently removed. If you have a Paid Subscription, you must cancel it through the App Store to stop future billing.
4.2. By Us
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Such termination may occur without prior notice.

5. Your Data and Privacy

We care about your privacy. Please review our Privacy Policy to understand how we handle your data. You acknowledge that we may establish general practices and limits concerning use of the Services.

6. Acceptable Use

6.1. User Conduct

You're responsible for how you use Vent. You agree not to use the Services to:

Upload or share content that infringes on others' rights, is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
Harass, abuse, or harm others.
Impersonate any person or entity or misrepresent your affiliation with a person or entity.
Collect personal information from others without consent.
Interfere with or disrupt the Services or servers.
Engage in any unauthorized or unlawful activities.

6.2. Age Restrictions
You must be at least 18 years old to use Vent. By using the Services, you represent and warrant that you meet this age requirement.

7. User Content

7.1. Responsibility for Content
You are solely responsible for any content you upload, post, or share through the Services ("User Content"). You represent that you own or have the necessary rights to your User Content.
7.2. Monitoring and Removal
We reserve the right to monitor, remove, or refuse any User Content that violates these Terms or is otherwise objectionable at our sole discretion.

8. Intellectual Property Rights

8.1. Ownership
All content and materials within Vent, including text, graphics, logos, and software, are owned by Let's Mosey LLC or our licensors and are protected by intellectual property laws.
8.2. Limited License
We grant you a limited, non-exclusive, non-transferable license to access and use
the Services for personal, non-commercial purposes.
8.3. Restrictions
You agree not to:

Copy, modify, distribute, or create derivative works from the Services.
Reverse engineer or attempt to extract the source code of the software.
Use any trademarks, logos, or service marks without our prior written consent.

9. Third-Party Services and Links

Vent may contain links to third-party websites or services that are not owned or controlled by Let's Mosey LLC. We are not responsible for the content or practices of these third parties. Your dealings with third parties found through the Services are solely between you and the third party.

10. Disclaimer of Warranties

Vent is provided “as is” and “as available,” without warranties of any kind, either express or implied. Let’s Mosey LLC makes no guarantees regarding the quality, reliability, suitability, or availability of the Services.

We do not warrant that:

The Services will meet your expectations or requirements
The Services will be uninterrupted, timely, secure, or error-free
Any information or content obtained through the Services will be accurate, complete, or reliable
Use of the Services will result in any emotional, mental, or behavioral improvement

Any outcomes, impressions, or decisions resulting from your use of Vent are not guaranteed and are your sole responsibility.

11. Limitation of Liability

To the fullest extent permitted by law, Let’s Mosey LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to:

Errors or inaccuracies in AI-generated content
Decisions made based on information provided by the Services
Loss of data, income, or profits
Security breaches or unauthorized access
Service interruptions or unavailability
Viruses, bugs, or other technical malfunctions

Let’s Mosey LLC’s total liability for any claim related to the Services or these Terms shall not exceed the amount you paid for the Services in the past six months, or $100, whichever is greater.

12. Indemnification & Force Majeure

12.1 Indemnification
You agree to indemnify, defend, and hold harmless Let's Mosey LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, disputes, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of the Services
Your violation of these Terms
Your violation of any rights of another person or entity

This obligation survives the termination of these Terms and your use of the Services.

12.2 Force Majeure
Let’s Mosey LLC shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, internet outages, power failures, strikes, labor disputes, civil disturbances, or governmental actions. In such cases, performance will be excused for the duration of the disruption.

13. Dispute Resolution and Arbitration

13.1. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
13.2. Agreement to Arbitrate
You and Let's Mosey LLC agree to resolve any disputes arising from these Terms or your use of the Services through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
13.3. Waiver of Class Actions
You agree to arbitrate disputes individually and waive any right to participate in a
class action lawsuit or class-wide arbitration.
13.4. Exceptions
Either party may seek relief in small claims court for disputes within its jurisdiction. This arbitration agreement does not prevent you from bringing issues to the attention of federal, state, or local agencies.
13.5. Arbitration Procedures

Arbitration will be conducted confidentially.
The arbitrator's decision will be final and binding.
Each party will bear its own costs, except as provided in the AAA Rules.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, for conduct that we believe violates these Terms or is harmful to other users or us.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide notice through the Services or by posting the updated Terms on our website at least 14 days in advance, unless immediate changes are required for legal or security reasons. The “Effective Date” at the top of the Terms will reflect the most recent update. Your continued use of Vent after any changes indicates your acceptance of the revised Terms.

16. Miscellaneous

16.1. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Let's Mosey LLC regarding the Services.
16.2. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.4. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
16.5. Notices
We may provide notices to you by email, regular mail, or postings within the Services.
16.6. Geographic Restrictions

The Services are operated from the United States. If you access them from other locations, you do so at your own risk and are responsible for compliance with local laws. You may not use the Services if you are located in any U.S. embargoed countries or are on any U.S. government restricted parties lists. All data is stored on servers located in the United States.
16.6. Prohibited Uses
You agree not to:
Use the Services for any illegal purpose

Attempt to gain unauthorized access to the Services
Upload malicious code or content
Harass, abuse, or harm others
Impersonate others
Interfere with the operation of the Services
Attempt to reverse engineer the Services
Use the Services to develop competing products
